Our goal is to own and build upon a small to midsize business.
We seek an opportunity to acquire and continue to build in a strong performing and successful track record organization, as population demographics change and baby boomers transition out of the marketplace/business ownership.
Particulars of deal structure will be addressed in detail as part of our discussions. These discussions will be followed by review and valuation, introduction meetings, negotiations, signing Letter of Intent, due diligence, underwriting and purchase agreement/closing. Valuation considerations will be determined by the following:
- Understanding the local market and industry conditions.
- Determining Sellers Discretionary Earning (SDE) of the business.
- Identifying Key Factors for consideration.
- Calculating realistic multiplier for business.
- Seller Notes and Earn out Structures.
- Ability to close 90 days post executed LOI.
